Director Indemnification Agreements between NuPathe Inc. and Its Directors
NuPathe Inc. has entered into Director Indemnification Agreements with its current directors, including Armando Anido, Michael Cola, James A. Datin, William J. Federici, Richard S. Kollender, Robert P. Roche, Jr., Brian J. Sisko, and Wayne P. Yetter. These agreements provide that NuPathe Inc. will protect its directors from certain legal liabilities and expenses that may arise from their service as directors, subject to the terms and conditions outlined in the agreements. The agreements are consistent with a previously filed standard form.

Director Indemnification Agreements
The following current directors of NuPathe Inc. are each a party to a Director Indemnification Agreement with NuPathe Inc. Such Director Indemnification Agreements are consistent in all material respects with the Form of Director Indemnification Agreement which is filed as Exhibit 10.20 to Amendment No. 2 to NuPathe Inc.’s Registration Statement on Form S-1 (File No. 333-166825) filed on July 9, 2010.
