Addendum to Employment Contract between Nocera Inc. and Hsien-Wen Yu (Warrant Grant)
This addendum to the employment contract between Nocera Inc. (employer) and Hsien-Wen Yu (employee) grants the employee 120,000 Class A warrants at an exercise price of $0.50. The warrants vest annually over a three-year period starting January 1, 2022. This addendum updates and overrides any conflicting terms in the original employment agreement dated August 16, 2019.

ADDENDUM TO THE EMPLOYMENT CONTRACT – Hsien-Wen Yu
The following provisions shall form part of the Employment Contract:
The Employer granted 120,000 share of Class A warrant at exercise price of $0.50 over 3-year period vesting every year or yearly starting on January 1, 2022.
This Addendum supplements, revokes and/or supersedes inconsistent provisions of the Employment Agreement/Contract dated August 16, 2019.
