Summary

This agreement is between OTCBB:NXHD and consultant Robert Sullivan. Sullivan will provide broadcast, recording, and production services for radio and television interviews, including live and rebroadcast segments, as well as advice on interview content and distribution. In return, Sullivan will receive 1,000,000,000 restricted shares of OTCBB:NXHD, subject to a six-month restriction and a legal opinion letter. The client may archive a portion of the television interview on their website. The agreement is effective as of early February 2009.

“SHOUT OUT” CLAUSE:
Additionally, if Client releases, to the public, a newsworthy event, client is eligible for a 5-10 minute, live – On-Air RADIO review of said press release or other newsworthy event within 24 hours of said release.

5]           ADVICE AND COUNSEL.  ROBERT SULLIVAN, CONSULTANT will provide advice and counsel regarding CLIENT’s interview, content of broadcast and distribution of same.
