Subscription Agreement between NewHold Investment Corp. II and NewHold Industrial Technology Holdings LLC II (February 25, 2021)
NewHold Industrial Technology Holdings LLC II agrees to purchase 5,031,250 shares of Class B common stock from NewHold Investment Corp. II for $25,000. The agreement requires the buyer to accept the shares under the company's Certificate of Incorporation and By-laws. The transaction is formalized by entering the buyer's name and address into the company's stockholder ledger. Both parties signed the agreement on February 25, 2021.

I hereby subscribe for 5,031,250 shares (the “Shares”) of Class B common stock of the Company. In consideration for the issue of the shares, we hereby agree and undertake to pay $25,000 to the Company.
We agree to accept the Shares subject to the Certificate of Incorporation and By-laws of the Company and we authorize you to enter the following name and address in the stockholders ledger of the Company:
