| NEWBRIDGE BANCORP This certificate also evidences and entitles the holder hereof to certain Rights as set forth in the Rights Agreement between NewBridge Bancorp (formerly LSB Bancshares, Inc.) (the “Company”) and Computershare Trust Company, N.A.
