Office Sharing Lease Agreement between China Boon Holdings Limited and NCN Group Management Limited (November 1, 2010)

Summary

China Boon Holdings Limited and NCN Group Management Limited have agreed that NCN will share China Boon's office space and facilities at Suite 3908-11, Shell Tower, Times Square, Hong Kong. The agreement runs from November 1, 2010, to March 9, 2011, with NCN paying HK$69,000 per month from November to February and HK$20,032 for March 1–9. Payments are due in advance each month. The agreement can be renewed if both parties agree in writing.

Exhibit 10.19

This agreement is made on this 1st day of November 2010 between China Boon Holdings Limited ("China Boon") and NCN Group Management Limited ("NCN").

Whereas China Boon is a tenant of an office located at Suite 3908-11, Shell Tower, Times Square, Causeway Bay, Hong Kong and desire to enter into an arrangement with NCN such that NCN would share the office and facilities therein (the "Office") on the following terms:

	Duration:	1 November 2010 to 9 March 2011

	Charge for Share of Office:	HK$69,000 for each of the month during November 2010 to February 2011 and HK$ 20,032 for the period from 1 to 9 March 2011

	Payment:	Payable in advance on the first day of each month

This agreement is renewable subject to written consent by both parties.
