Notice of Termination of Merger Agreement between Monarch Investment Properties, Inc. and All American Home Products, LLC
Monarch Investment Properties, Inc. has formally notified All American Home Products, LLC that it is terminating their Merger Agreement, effective March 19, 2009. This decision follows a lack of response from All American Home Products regarding a requested extension to close the transaction. The termination is made in accordance with the terms outlined in the Merger Agreement and its first amendment. The letter is addressed to Kent Curran, President of All American Home Products, and copies are sent to relevant legal and financial representatives.

Dear Mr. Curran:
On March 13, 2009 we sent you the attached letter which you acknowledged receiving, but did not provide us with the status, other than you would like to negotiate an extension.
At our in-person meeting on March 27, 2009 we emphasized the importance of your immediate action on your request for an extension of time to close this transaction. We have not received a response to our request.
Pursuant to Amendment No. 1 to Merger Agreement, paragraph 3, “Amendment to Section 7.1: Termination”, the Company is notifying you that we are terminating the Merger Agreement effective March 19, 2009, as provided for in the Merger Agreement and Amendment No 1 to the Merger Agreement.
