Employment Agreements between Mindspeed Technologies, Inc. and Named Executives
Mindspeed Technologies, Inc. has entered into employment agreements with several executives, including Najabat H. Bajwa, Kurt F. Busch, Jing Cao, and others. These agreements outline the terms of employment and are largely identical to a previously filed form, except for a specific provision: Mr. Raouf Y. Halim receives a severance multiple of three, while the other executives receive a multiple of two. The agreements set forth the rights and obligations of both the company and the executives regarding employment and severance.

The multiple set forth in Section 6(i) (B) of the Employment Agreement for Mr. Halim is three and the multiple set forth in Section 6(i) (B) of the Employment Agreement for the other persons is two.
