SUMMARY OF ARRANGEMENT WITH NAMED EXECUTIVE OFFICER

In connection with the postponement of Mr. Kalman’s retirement, Mr. Kalman will continue to serve as Executive Vice President on an at-will employment basis without any change in his compensation arrangement.
