Amendment to Employment Agreement between Manugistics Group, Inc. and Joseph L. Cowan
This amendment updates the employment agreement between Manugistics Group, Inc. and Joseph L. Cowan. It provides Mr. Cowan with a housing allowance for an executive-level apartment, which will end when he buys a home near the company, on July 21, 2006, or thirty days after his employment ends, whichever comes first. All other terms of the original agreement remain unchanged. Both parties have signed to confirm their acceptance of these terms.

EMPLOYMENT AGREEMENT AMENDMENT
To Joseph L. Cowan:
Manugistics Group, Inc., a Delaware corporation (the “Company”), and you are hereby entering into an amendment to your employment agreement with the Company dated July 21, 2004 and amended on September 23, 2005 (the “Employment Agreement”). Except as set forth below, your Employment Agreement remains in full force and effect.
