Summary

Citigroup Managed Futures LLC and Warrington Management, L.P. have agreed to extend the term of their existing management agreements related to the Smith Barney Warrington Fund L.P. through June 30, 2010. All other terms and conditions of the original agreements remain unchanged. The extension is confirmed by both parties signing this letter.
