Summary
This amendment, effective May 19, 2006, modifies the 1990 Stock Option Plan to address the treatment of outstanding stock options in the event of a company merger. If the company is merged after a majority of its stock is acquired through a tender offer, all outstanding stock options—whether vested or unvested—will be terminated at the close of the merger. Option holders will receive a cash payment equal to the difference between the merger consideration per share and the option exercise price per share.
