Notice of Extension of Credit Agreement Termination Date between Lithia Motors, Inc., DaimlerChrysler Services North America LLC, and Toyota Motor Credit Corporation
This letter notifies Lithia Motors, Inc. that the termination date of its existing Credit Agreement with DaimlerChrysler Services North America LLC and various lenders, including Toyota Motor Credit Corporation, has been extended by one year. The new termination date is May 1, 2008. All other terms of the original agreement remain unchanged. The notice is issued in accordance with the procedures outlined in the Credit Agreement.

This letter serves as notice pursuant to Section 2.6 of the Credit Agreement that the Termination Date is hereby extended for an additional one year period. The new Termination Date shall be May 1, 2008. All capitalized terms used herein without definition have the meanings assigned thereto in the Credit Agreement.
