Linde plc CHF 500 Million Senior Bonds Final Terms and Conditions (2029 & 2033)
Linde plc is issuing two tranches of senior, unsecured bonds: CHF 225 million due in 2029 at 0.6150% interest, and CHF 275 million due in 2033 at 1.0629% interest. The bonds are governed by German law, listed on the SIX Swiss Exchange, and managed by UBS Investment Bank and BNP Paribas. Proceeds will be used for general corporate purposes. The bonds may be redeemed early under certain conditions, and are subject to specific selling restrictions, including prohibitions on sales to retail investors in the EEA and UK.

MiFID II Product Governance / Professional investors and eligible counterparties only target market. Solely for the purposes of the manufacturers product approval process, the target market assessment in respect of the Bonds has led to the conclusion that: (i) the target market for the Bonds is only eligible counterparties, and professional clients and, only in Switzerland, retail clients, each as defined in MiFID II; and (ii) all channels for distribution of the securities to eligible counterparties and professional clients are appropriate. Any person subsequently offering, selling or recommending the securities (a distributor) should take into consideration the manufacturers target market assessment; however, a distributor subject to MiFID II is responsible for undertaking its own target market assessment in respect of the Bonds (by either adopting or refining the manufacturers target market assessment) and determining appropriate distribution channels.
