Amendment to Lincoln National Corporation Executive Deferred Compensation Plan for Employees
Lincoln National Corporation has amended its Executive Deferred Compensation Plan for Employees, effective shortly after January 13, 2005. The amendment removes the previous cap that limited the amount of annual bonus eligible for company matching contributions. Now, all annual bonus amounts, without the prior restriction, can qualify for matching contribution credits under the plan.

Effective as soon as practicable after January 13, 2005: removal of the existing cap on the amount of annual bonus (50% of bonus in excess of $100,000) that qualifies as compensation eligible for purposes of the company matching contribution credits.
