Summary
Learning Tree International, Inc. and Eric R. Garen have agreed to extend the term of Mr. Garen's employment agreement by one year, until September 30, 2003. All other terms and conditions of the original employment agreement, dated October 1, 2001, remain unchanged. This extension is confirmed in writing and accepted by both parties.

Dear Mr. Garen:
This will confirm our agreement to extend, until September 30, 2003, the term of your Employment Agreement dated as of October 1, 2001. All of the other terms of the Employment Agreement will remain as they have been.
