Extension of Change of Control Employment Agreement between Kewaunee Scientific Corporation and David M. Rausch
Kewaunee Scientific Corporation and David M. Rausch have agreed to extend the term of Mr. Rausch's Change of Control Employment Agreement, originally dated August 27, 2014. The new end date for the agreement is November 12, 2018. All other terms and conditions of the original agreement remain unchanged. Both parties have signed to confirm their acceptance of this extension.

Pursuant to Section 1(b) of your Change of Control Employment Agreement (the “Agreement”), dated as of August 27, 2014, the term of the Agreement, as stated in Section 1(b) thereof, is hereby extended so that the Agreement, as extended, will end on November 12, 2018.
In all other respects, the Agreement is reaffirmed and remains unchanged.
