Extension Agreement to Change of Control Employment Agreement between Kewaunee Scientific Corporation and Elizabeth D. Phillips
Kewaunee Scientific Corporation and Elizabeth D. Phillips have agreed to extend the term of Ms. Phillips' Change of Control Employment Agreement, originally dated December 4, 2008. The new end date for the agreement is November 12, 2018. All other terms and conditions of the original agreement remain unchanged. This extension was executed by both parties in December 2017.

RE: EXTENSION OF CHANGE OF CONTROL EMPLOYMENT AGREEMENT
Pursuant to Section 1(b) of your Change of Control Employment Agreement (the “Agreement”), dated as of December 4, 2008, the term of the Agreement, as stated in Section 1(b) thereof, is hereby extended so that the Agreement, as extended, will end on November 12, 2018.
In all other respects, the Agreement is reaffirmed and remains unchanged.
