This document is an allonge attached to a promissory note originally issued by Kenergy Scientific, Inc. to Charles M. Basner for $100,000. It records the transfer of a $25,000 principal portion of the note from Charles M. Basner to Star City Capital, LLC. The transfer is made without representation or warranty, except as provided in a related Securities Transfer Agreement. The agreement formalizes the partial assignment of the debt obligation to the new holder, Star City Capital, LLC.

This Allonge is to be attached to and made a part of that certain Note dated July 22,2011, 2011 in the original principal amount of One Hundred Thousand Dollars ($100,000.00) executed by Kenergy Scientific, Inc., a New Jersey corporation, to the order of Charles M. Basner (the "Note").
Transfer to the order of Star City Capital, LLC, a New York limited liability company, $25,000.00 principal portion of the Note without representation or warranty except as set forth in that certain Securities Transfer Agreement dated of even date herewith from Charles M. Basner in favor of Star City Capital, LLC.
