Amendment to Employment Agreement Between Jacobs Engineering Group Inc. and Dr. Joseph J. Jacobs Dated December 3, 2001

Summary

Jacobs Engineering Group Inc. and Dr. Joseph J. Jacobs have agreed to extend the term of their existing employment agreement, originally dated November 30, 1993. The new end date for the agreement is September 30, 2006, instead of the previously agreed September 30, 2005. All other terms and conditions of the original agreement remain unchanged. This amendment is effective as of December 3, 2001.

JACOBS ("Jacobs"). In accordance with previous practice, the term for the ending of the outstanding November 30, 1993 employment agreement between the parties is extended from September 30, 2005 to September 30, 2006. All of the other provisions of the agreement shall remain in force.
