Invuity, Inc. Restricted Stock Unit Deferral Program Award Notice for Outside Directors
This agreement is between Invuity, Inc. and an outside director who is being granted deferred Restricted Stock Units (RSUs) under the company's 2015 Equity Incentive Plan. The director will receive shares of company stock in the future, typically after leaving the company, upon death, disability, or a change in control. The number of RSUs and specific vesting and payout terms are detailed in the related program documents. By accepting, the director agrees to all terms and acknowledges receipt of the relevant plan materials.

This Award Notice evidences the award of deferred Restricted Stock Units (each, a “Deferred RSU” or collectively, the “Deferred RSUs”) that have been granted to, [NAME], by Invuity, Inc. (the “Company”), subject to the terms of the Invuity, Inc. 2015 Equity Incentive Plan (the “Plan”), this Award Notice and the Invuity, Inc.
