Amendment No. 2 to Employment Agreement between Intelligroup, Inc. and Vikram Gulati
This amendment updates the employment agreement between Intelligroup, Inc. and Vikram Gulati, originally dated June 30, 2005. The main change extends the term of the agreement from twelve months to twenty-four months. All other terms of the original agreement remain unchanged. The amendment is effective as of June 8, 2006, and is signed by both parties.

Amendment No. 2 to
Employment Agreement
This Amendment No. 2 shall modify the terms of the Employment Agreement (“Agreement”) dated June 30, 2005 (the “Effective Date”), between Intelligroup, Inc. (the “Company”) and Vikram Gulati (the “Executive”). Except as expressly set forth below all other terms and conditions in the Agreement remain in full force and effect.
1. “ Section 2. Term of the Agreement” of the Agreement is hereby amended by replacing “twelve (12) months” with “twenty-four (24) months.”
