Subscription Agreement between ShiftPixy Investments, Inc. and Industrial Human Capital, Inc. for Common Stock Purchase
ShiftPixy Investments, Inc. agrees to purchase 4,312,500 shares of common stock from Industrial Human Capital, Inc. for $25,000. The agreement requires ShiftPixy Investments, Inc. to pay the specified amount and accept the shares under the terms of the Company's Certificate of Incorporation. The shares will be registered in the name and address provided by ShiftPixy Investments, Inc. Both parties have signed and dated the agreement on February 18, 2021.

The undersigned hereby subscribes for 4,312,500 shares of common stock, par value $0.0001 per share (the “Shares”) of the Company. In consideration for the issue of the Shares, the undersigned hereby agrees and undertakes to pay $25,000 to the Company.
The undersigned agrees to take the Shares subject to the Certificate of Incorporation of the Company and authorizes you to enter the following name and address in the stockholder ledger of the Company:
