First Amendment to Employment Agreement between Hurco Companies, Inc. and Michael Doar
This amendment updates the employment agreement between Hurco Companies, Inc. and Michael Doar, effective November 11, 2021. It reflects changes in Mr. Doar's role, allowing him to serve as Executive Chairman or other positions as designated by the company. The amendment also adjusts the terms for salary review, reduces the severance period for termination without cause from 12 to 9 months, and reduces the enhanced severance period in connection with a change in control from 24 to 18 months. Other clarifications are made regarding salary reductions and position changes.

EMPLOYMENT AGREEMENT
This First Amendment to Employment Agreement (the “Amendment”) is made and entered into effective as of November 11, 2021, by and between Hurco Companies, Inc., an Indiana corporation (the “Company”), and Michael Doar (“Executive”).
