SWS Group, Inc. Executive Cash Bonus Plan Description
SWS Group, Inc. has an executive cash bonus program that awards bonuses to executive officers based on the company's fiscal year return on equity, adjusted for certain factors, and individual business line results. Each executive's bonus is determined by both objective business performance and subjective evaluation of their contributions to the company's goals. Bonuses, if earned, are paid early in the following fiscal year. The program is designed to motivate executives to achieve strong financial and strategic results.

Description of the Cash Bonus Program of SWS Group, Inc.
A component of the executive officer compensation program of SWS Group, Inc. (the Company) consists of cash bonuses based on the Companys fiscal year consolidated return on equity subject to certain adjustments and individual business line results. Each individual executive officers bonus compensation is determined using objective measures of business unit performance as well as subjective measures of the executive officers contribution to the Companys financial and strategic objectives and the overall consolidated return on equity. If awarded, bonuses are paid early in the following fiscal year. The Companys Compensation Committee believes that basing a portion of an executive officers compensation on performance motivates the executive to perform at the highest possible level.
