Letter Agreement Regarding Reduction of Director Fees – Christopher P. Lowe and Hansen Medical, Inc. (March 19, 2009)
Christopher P. Lowe, a non-employee director of Hansen Medical, Inc., requests a 15% reduction in the cash fees he receives for his board and committee service during 2009. This reduction applies to all annual retainers and meeting fees owed to him for that year. The letter is addressed to Steve Van Dick of Hansen Medical, Inc. and serves as a formal notice of Mr. Lowe's voluntary fee reduction.

I hereby request that the cash fees due to me for my service as a non-employee director of Hansen Medical, Inc. (the “Company”) during the 2009 calendar year be reduced by 15%. This applies to each annual retainer and meeting fee due to me, whether for my service as a non-employee director generally or for my service on any committee of the Company’s Board of Directors.
