The Company represents that there are no parties entitled to receive fees, commissions, or similar payments in connection with the Offering.

(b)           Escrow Fees.  The Company shall pay to ______,  (“Escrow Agent”), a fee of $___________ (“Escrow Fees”) as reimbursement for services rendered in connection with the management of the Escrow. (c)           Use of Proceeds.  The Subscriber acknowledges and understands that the proceeds are being used for the working capital of the Company and for the payment of the professional fees by the Company in connection with the Share Exchange Transaction and the Offering, and that the Company will need additional financing in order to fund future development and expansion of its business. The Company cannot be certain that it will be able to obtain additional funding in the future either on terms and conditions acceptable to the Company or under any circumstances. (n)           Non-Public Information.  The Company covenants and agrees that neither it nor any other person acting on its behalf will provide any Subscriber or its agents or counsel with any information that the Company believes constitutes material non-public information, unless prior thereto in each instance such Subscriber shall have agreed in writing to receive such information.
