Waiver Agreement Regarding Non-Compete and Non-Solicit Provisions under Asset Purchase Agreement by TREES Corporation, Green Tree Colorado, LLC, Allyson Feiler Downing, and Loree Schwartz
TREES Corporation and Green Tree Colorado, LLC have agreed to irrevocably waive the non-compete and non-solicit restrictions in Section 5.8 of their Asset Purchase Agreement, as it applies to Allyson Feiler Downing and Loree Schwartz. This waiver is effective as of the date of signing and releases Downing and Schwartz from those specific obligations. All parties have acknowledged and agreed to this change in writing.

Each of TREES Corporation (“CANN”) and Green Tree Colorado, LLC (“Buyer”, and together with CANN, “Trees”) acknowledge and agree to, effective upon the execution of this letter agreement, irrevocably waive Section 5.8 of the Asset Purchase Agreement, dated as of September 13, 2022, as amended, by and among Trees, Allyson Feiler Downing (“Downing”), Loree Schwartz (“Schwartz”) and various other parties thereto as such section applies to Downing and Schwartz, directly or indirectly (the “Waiver”).
