Extension Agreement to Research Agreement between Dow Corning Corporation and Genencor International, Inc.

Summary

Dow Corning Corporation and Genencor International, Inc. have agreed to extend their existing research agreement, originally set to expire on December 31, 2003, for an additional three months until March 31, 2004. No further milestone payments are required from Dow Corning for achievements after December 31, 2003, but all other terms of the original agreement remain unchanged. Both parties have signed to confirm their acceptance of this extension.

The present Agreement expires on December 31, 2003. Assuming Genencor International, Inc. wishes to continue working with Dow Corning Corporation, we propose to extend the term of the above-mentioned Agreement three (3) additional months. The new expiration date will be March 31, 2004. Other than for milestones achieved prior to December 31, 2003, no additional Milestone payments are due from Dow Corning during the time period of this Extension. All other terms and conditions of the Agreement will remain the same.
