General Electric Company, through its Senior Vice President and Treasurer Kathryn A. Cassidy, informs the Securities and Exchange Commission (SEC) that neither GE nor its subsidiaries have any long-term debt instruments, other than those already filed as exhibits to its 2011 Annual Report, that authorize securities exceeding 10% of the company’s total consolidated assets. GE agrees to provide the SEC with copies of any other such debt instruments upon request, as required by SEC regulations.

In accordance with paragraph (b)(4)(iii) of Item 601 of Regulation S-K (17 CFR Sec. 229.601), the Company hereby agrees to furnish to the Securities and Exchange Commission, upon request, a copy of each instrument that defines the rights of holders of such long term debt not filed or incorporated by reference as an exhibit to the Company’s Annual Report on Form 10-K for the fiscal year ended December 31, 2011.
