Waiver of Default under Promissory Note by First Physicians Capital Group, Inc. and Note Holder

Summary

This agreement is between First Physicians Capital Group, Inc. and the holder of a promissory note dated February 1, 2012. The holder agrees to waive any claims or rights related to any event of default that occurred before or on the date of this waiver. This means the holder will not take action against the company for any past defaults under the note up to the date of signing. The waiver is effective as of the date it is executed by the holder.

Waiver of Default

In accordance with the terms of that certain Promissory Note, dated February 1, 2012 (the “Note”), granted by First Physicians Capital Group, Inc., a Delaware corporation (the “Company”), to the undersigned (the “Holder”), the Holder hereby waives any and all claims or rights pursuant to the terms of the Note relating to the occurrence of an event prior to (and including) the date of this Waiver that would constitute an Event of Default (as that term is defined in the Note).
