Addendum 3 to Master Services Agreement between Exult, Inc. and Bank of America Corporation

Summary

This addendum modifies the existing Master Services Agreement between Exult, Inc. and Bank of America Corporation. It updates the calculation of Quarterly Baseline Charges for the quarters ending September 30, 2002, and December 31, 2002. The changes will be reflected in invoices issued by Exult, Inc. around July 1, 2002, and October 1, 2002. The addendum is effective as of May 23, 2002, and is signed by both parties.
