EnerNOC, Inc. 2007 Executive Officer Bonus Targets Agreement
EnerNOC, Inc. has set bonus targets for its executive officers for 2007, specifying the percentage of salary or fixed amount each may receive as a bonus. The actual bonus amounts, which may differ from these targets, will be determined by a bonus plan to be finalized by the Compensation Committee. Bonuses will be paid in cash, stock, or a combination, within 90 days after the amounts are determined.

Actual bonuses may be higher or lower than the executives bonus target.
