Change in Control Agreements with Nikhil Sinha, Steven F. Coleman, and John A. Blanchard III

This document identifies that Nikhil Sinha, Steven F. Coleman, and John A. Blanchard III have each entered into Change in Control Agreements with the company. These agreements are substantially identical to those previously executed with another executive, Mr. Bristow, except for party-specific details and, in Mr. Blanchard's case, the incorporation of an amendment directly into the agreement. John A. Blanchard III has also entered into an identical agreement, except that the terms of the October 19, 2000 amendment to Mr. Bristow's agreement are incorporated directly into the original form of Mr. Blanchard's agreement.
