Nonemployee directors receive the following cash compensation:

| Committee Meeting Fee for Committee Chairman only (per meeting attended) | 250 |
Nonemployee directors are also reimbursed for their reasonable expenses incurred in attending meetings of the Board of Directors and its committees.
