Waiver and Termination of Change in Control Severance Agreement between Henry B. Barron, Jr. and Constellation Energy Group, Inc.
This agreement is between Henry B. Barron, Jr. and Constellation Energy Group, Inc. It confirms that Mr. Barron irrevocably agrees to terminate his Change in Control Severance Agreement with the company, effective immediately. From this date forward, neither party has any further rights or obligations under the original severance agreement. The waiver is acknowledged and accepted by the company.

I hereby irrevocably and unconditionally consent to the termination of my Change in Control Severance Agreement with Constellation Energy Group, Inc. (the “Company”), dated April 1, 2008. From and after the date hereof, such agreement is null and void and neither I nor the Company has any further rights or obligations thereunder.
