Waiver and Termination of Change in Control Severance Agreement between Mayo A. Shattuck III and Constellation Energy Group, Inc.
This agreement, dated December 9, 2009, is between Mayo A. Shattuck III and Constellation Energy Group, Inc. Mr. Shattuck consents to the termination of his Change in Control Severance Agreement with the company, making the prior agreement null and void. Both parties agree that they no longer have any rights or obligations under the terminated agreement. The waiver is acknowledged and accepted by the company.

I hereby irrevocably and unconditionally consent to the termination of my Second Amended and Restated Change in Control Severance Agreement with Constellation Energy Group, Inc. (the “Company”), dated December 31, 2008. From and after the date hereof, such agreement is null and void and neither I nor the Company has any further rights or obligations thereunder.
