TO THE
CONSOLIDATED EDISON COMPANY OF NEW YORK, INC.
SUPPLEMENTAL RETIREMENT INCOME PLAN
As Amended and Restated Effective as of January 1, 2009

In accordance the authority granted to the Plan Administrator under Section 3.02 of the Plan, the undersigned hereby approves the following amendments to the Plan, effective as of the date set forth in the amendments hereof.
1. | Section 1.03 is amended by adding the following to the end thereof. |
“A new “Table 2” is added to Annex B, and its existing table is re-labeled “Table 1”. The factors in Table 1 continue to apply to CECONY Management Participants who attained age 50 on or before January 1, 2013, as well as to the portion of the benefit accrued through December 31, 2012 for CECONY Management Participants Tier 1 (as such term is defined in the Retirement Plan). The factors in Table 2 shall apply to the benefit accrued after December 31, 2012 for CECONY Management Participants Tier 1.”
