Amendment No. 1 to Settlement Agreement between Compuware and Henry A. Jallos (August 7, 2007)

Summary

This amendment modifies the previous settlement agreement between Compuware and Henry A. Jallos regarding his separation from the company. It confirms that Mr. Jallos will continue to receive his net salary through June 30, 2009, paid according to Compuware's payroll schedule. However, no payments will be made before January 10, 2008. On January 15, 2008, he will receive a lump sum for salary accrued from July 16, 2007, to January 14, 2008, with regular payments resuming thereafter. Both parties have agreed to these revised terms.

On January 15, 2008, you will receive an aggregate of all net salary that would have accrued between July 16, 2007 and January 14, 2008.
