Amendment to Employment Agreement between Color Imaging, Inc. and Morris E. Van Asperen

Summary

Color Imaging, Inc. and Morris E. Van Asperen have agreed to amend Van Asperen's employment terms. Effective April 19, 2004, his annual salary is reduced from $151,190 to $120,000, paid biweekly. Additionally, starting April 1, 2004, his previous commission structure is replaced with a new commission of 0.5% on gross sales of all-in-one products, paid monthly after the 15th of each month. The amendment is accepted by both parties as indicated by their signatures.

Effective April 1, 2004, your existing commission and Maximum Compensation arrangement is superceded by a commission of 1/2 of 1% (0.5%) on the gross sales of all-in-one products, to be paid monthly in arrears on or after the 15th of the month following the end of each calendar month.
