Amendment to Employment Agreement between Graham J. Wootten and Chesapeake Lodging Trust/Chesapeake Lodging, L.P.
This agreement, dated May 24, 2011, is an amendment to the employment agreement between Graham J. Wootten and Chesapeake Lodging Trust (and its affiliate Chesapeake Lodging, L.P.). It removes Paragraph 6(d)(v) and all related references from the original employment agreement, making them no longer effective. All other terms of the original agreement remain unchanged and in effect. Both parties have agreed to this amendment as confirmed by their signatures.

Dear Tom:
This letter agreement will confirm that Paragraph 6(d)(v) of my employment agreement with Chesapeake Lodging Trust and Chesapeake Lodging, L.P., dated as of February 16, 2010 (the “Agreement”), is hereby deleted in its entirety (together with all references thereto in the Agreement) and shall be of no further force or effect, effective as of the date hereof. As amended hereby, the Agreement shall continue in full force and effect in accordance with its terms.
