Summary
Chardan China Acquisition Corp. and Chardan Ventures LLC have agreed that, starting from the effective date of Chardan China Acquisition Corp.'s initial public offering and continuing until it completes a business combination, Chardan Ventures LLC will provide office space and secretarial services at a specified address. In return, Chardan China Acquisition Corp. will pay Chardan Ventures LLC $7,500 per month for these services.

("CCAC") and continuing until the consummation by CCAC of a "Business Combination" (as described in CCAC's IPO prospectus), Chardan Ventures LLC shall make available to CCAC certain office and secretarial services as may be required by CCAC from time to time, situated at 777 South Highway 101, Suite 215, Solana Beach, California 92075.
