Summary
Chardan China Acquisition Corp. (SPAC) and Chardan Ventures LLC agree that, starting from the effective date of SPAC's initial public offering and continuing until SPAC completes a business combination, Chardan Ventures LLC will provide office space and secretarial services to SPAC at a specified address. In return, SPAC will pay Chardan Ventures LLC $7,500 per month, beginning on the effective date and continuing monthly until the agreement ends.

("SPAC") and continuing until the consummation by SPAC of a "Business Combination" (as described in SPAC's IPO prospectus), Chardan Ventures LLC shall make available to SPAC certain office and secretarial services as may be required by SPAC from time to time, situated at 777 South Highway 101, Suite 215, Solana Beach, California 92075.
