As of March 10, 2021, BT Brands, Inc.’s class of common stock, par value $0.001 per share (“Common Stock”) was registered under Section 12 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”).

Authorized Shares
Our Certificate of Incorporation authorizes the issuance of up to 50,000,000 shares of Common Stock.
Voting Rights
The holders of shares of our Common Stock are entitled to one vote per share.
Dividend Rights
The holders of our Common Stock will be entitled to receive ratably such dividends, if any, as may be declared by our Board of Directors out of legally available funds.
Liquidation Rights
Upon liquidation, dissolution or winding-up, the holders of our Common Stock will be entitled to share ratably in all assets that are legally available for distribution.
Other Rights and Preferences
The holders of our Common Stock will have no preemptive, subscription, redemption or conversion rights.
