Summary
Beverly Enterprises has selected Jeffrey Freimark to participate in its Process Improvement Team Award Program. The agreement rewards Freimark with stock options based on the company's success in reducing general and administrative (G&A) expenses by specific targets by the end of 2005. If the company achieves a $26 million or greater reduction, Freimark will receive 150,000 shares; for a reduction between $23 million and $25.9 million, he will receive 75,000 shares. The final award is subject to the discretion of the Board's Nominating and Compensation Committee.
