The Management Agreement between Apogee Holdings Inc. ( Apogee) and Bedminster Capital Corp. ( BCC) dated March 1 , 2007 is hereby terminated by the parties effective today. Apogee agrees to waive all outstanding amounts owed to it under the Agreement.
