Addendum No. 1 to Employment Agreement between Auxilium Pharmaceuticals, Inc. and Robert S. Whitehead
This addendum to the employment agreement between Auxilium Pharmaceuticals, Inc. and Robert S. Whitehead provides that if Mr. Whitehead's position is eliminated within his first two years of employment, or if he leaves under conditions defined as 'Termination Without Cause,' he will receive an additional three months of severance pay, as outlined in the original employment agreement dated June 1, 2004.

Employment Agreement Addendum #1
If Executive’s position is eliminated within the first two (2) years of employment, or if Executive leaves under the conditions described as Termination Without Cause (as defined in Section 2.1) an additional three (3) months of severance shall be paid in accordance with the Employment Agreement entered into on June 1, 2004.
