Termination Letter Agreement between Autobytel Inc. and Robert S. Grimes
This letter agreement, dated January 5, 2006, is between Autobytel Inc. and Robert S. Grimes. It confirms the mutual termination of their prior Consulting Agreement, effective December 31, 2005. Both parties agree to end their consulting relationship as of that date, with no further obligations under the original agreement. The termination is formalized by signatures from both parties.

Dear Mr. Grimes:
Reference is hereby made to that certain Consulting Agreement entered between Autobytel Inc. (formerly autobytel.com inc.) and Robert Grimes as of April 1, 2000, as amended (the “Agreement”).
The parties hereby agree that the Agreement is terminated effective as of December 31, 2005.
