Summary
This letter amends Dennis L. Winger's employment agreement with Applera Corporation. If Mr. Winger remains employed until his 60th birthday, or if the company terminates him without cause before then, he will receive a supplemental retirement benefit after age 60. This benefit will be calculated as if he had 10 additional years of service under the company's pension and excess benefit plans, in addition to his actual years of service.

This benefit will equal the annual benefit you would receive if you were credited with 10 years of service (in addition to your benefit for actual service) under the Company's Employee Pension Plan and Excess Benefit Plan.
