Amendment to Apache Corporation Non-Qualified Restorative Retirement Savings Plan—Change of Control Definition
Apache Corporation has amended its Non-Qualified Restorative Retirement Savings Plan, effective March 1, 2021. The amendment updates the definition of "Change of Control" in the plan by replacing references to "Apache" with "APA Corporation, a Delaware corporation, or its successor." This change clarifies which entity is referenced in the event of a change of control under the plan. The amendment was executed by Apache Corporation's Vice President of Human Resources.

Amendment to Definition of Change of Control
Apache Corporation (“Apache”) sponsors the Apache Corporation Non-Qualified Restorative Retirement Savings Plan (the “Plan”). In section 8.02 of the Plan, Apache reserved the right to amend the Plan from time to time. Apache hereby exercises that right as follows, effective March 1, 2021:
